These terms are an agreement between you and Hlix, Inc., a Delaware corporation, 28 Geary Street, Suite 650, San Francisco, CA 94108, United States ("hlix", "we", "us"). By creating an account or using hlix, you accept them. If you use hlix for a company, you accept them for that company and confirm you may do so.
A separate written agreement signed by both of us takes priority over these terms where they conflict.
1. The service
hlix runs AI agents that plan, write, test and review software for your projects. The agents work in isolated environments and deliver the result to your project, for example as a change to your repository. hlix includes the dashboard, the desktop app, the command-line tool, the API and the connector for AI assistants.
We improve hlix all the time, so features may change. We will not remove a core feature you pay for during your billing period without telling you first.
2. Accounts
- Give us accurate information and keep it up to date.
- Keep your sign-in details and API keys safe. You are responsible for what happens under your account.
- Tell us straight away at support@hlix.ai if you think someone used your account without permission.
- You must be at least 18 years old to use hlix.
- Workspace owners and admins control who is in their workspace and what each person can do.
3. Acceptable use
Follow our Acceptable Use Policy. It is part of these terms. In short: do not use hlix, its agents or its code environments for anything illegal, harmful or abusive, or for anything other than your projects.
4. Your content
- You own the content you put into hlix: your code, files, instructions and data.
- You also own the output hlix creates for you, such as code, as far as the law allows. We claim no rights in it.
- You give us permission to host, copy, process and send your content only as needed to run hlix for you, including sending it to AI models to do the work.
- hlix does not use your content to train AI models.
- You are responsible for having the rights to the content you put in, and for any secrets and credentials you give hlix.
Our Privacy Policy explains how we handle personal data. Business customers can get our Data Processing Addendum.
5. AI output
hlix uses AI, and AI makes mistakes. Output can be wrong, incomplete, insecure, or similar to other people's work. Review and test it before you rely on it or ship it. For a project connected to your repository, hlix opens a pull request and never merges it into your main branch for you. The decision to use the result is yours.
6. Services you connect
You can connect hlix to other services, such as a code host, an issue tracker, a chat app, your own AI model account, or an AI assistant. Those services are not ours. Their terms apply to your use of them, and we are not responsible for them.
7. Plans and fees
- Plans and prices are on our pricing page.
- Paid plans renew automatically each billing period until you cancel. You can cancel at any time; the plan then runs to the end of the period you paid for.
- AI usage is billed as the pricing page describes.
- Fees are charged in advance and are not refundable, except where the law or the pricing page says otherwise.
- Prices do not include taxes unless stated. You pay any taxes that apply.
- If we change a price, we tell you at least 30 days before it applies to you.
- If a payment fails, we may limit or suspend paid features until it is settled.
8. Suspension and ending
- You can stop using hlix and ask us to delete your account at any time.
- We may suspend or end your access if you break these terms, do not pay, or put hlix, other customers or third parties at risk. Where we reasonably can, we warn you first and give you a chance to fix it.
- When your account ends, you can ask for your content for 30 days. After that we delete it, as our Privacy Policy describes.
- Sections 4, 5, 9, 10, 11 and 12 continue to apply after these terms end.
9. Our property
hlix, its software, brand and documentation belong to us. These terms give you the right to use hlix while your account is active. They give you no other rights in it. If you send us feedback, we may use it without owing you anything.
10. No warranty
We provide hlix "as is" and "as available". As far as the law allows, we give no warranties, express or implied, including that hlix will be uninterrupted, error-free, or fit for a particular purpose.
11. Limit of liability
As far as the law allows:
- Neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data.
- Our total liability for all claims about hlix is limited to the fees you paid us in the 12 months before the claim, or USD 100 if that is more.
These limits do not apply where the law does not allow them, for example for gross negligence, intent, or death and personal injury.
12. Your responsibility to us
If someone makes a claim against us because of your content or your breach of these terms, you will cover our reasonable costs and losses from it.
13. Governing law and disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The courts of state and federal courts in Delaware have exclusive jurisdiction. If you are a consumer, you keep the protection of the mandatory laws of the country where you live.
14. Changes to these terms
We may update these terms. If a change matters, we tell you by email or in the dashboard at least 30 days before it takes effect. If you do not agree, you can stop using hlix before then. If you keep using hlix after the change takes effect, you accept the new terms.
15. General
- If one part of these terms is not enforceable, the rest still applies.
- If we do not enforce a right, we have not given it up.
- You may not transfer these terms without our written consent. We may transfer them to a successor of our business.
- Neither of us is liable for delays caused by events outside our reasonable control.
